Terms of Service

Effective: May 26, 2026

1. Agreement

These Terms of Service (“Terms”) are a binding agreement between you (or the entity you represent, “you”) and Innova Sales Lab dba PropFox (“PropFox”, “we”). By creating a PropFox account or using the service, you accept these Terms.

2. The service

PropFox is a SaaS product for real-estate brokerages that provides:

  • An AI voice receptionist running on a dedicated phone number.
  • Lead capture, qualification, and follow-up SMS.
  • Sync of property listings from supported feeds (currently kvCORE).
  • A web app for managing the broker's workspace, agents, and call history.

3. Accounts

You must provide accurate signup information and keep it current. You're responsible for all activity in your workspace. The broker who creates the workspace is its owner and has admin rights over billing, agent invitations, and deletion. Agents you invite to your workspace are subject to these Terms via your account.

4. Plans, billing, and credits

PropFox plans are billed monthly via Stripe. Current public pricing:

  • Starter — $497/mo · 500 voice minutes & 500 SMS segments included.
  • Growth — $997/mo · 1,500 voice minutes & 1,500 SMS segments included.
  • Brokerage — $1,997/mo · 5,000 voice minutes & 5,000 SMS segments included.

A one-time $295 setup fee is bundled with the first invoice. Usage beyond the monthly allowance is paid from prepaid overage credits at $0.35 per voice minute and $0.04 per SMS segment. Credits never expire. We'll never charge you for overage you didn't prepay for — if your credit balance hits zero, voice and SMS will be paused until you top up.

Subscriptions auto-renew monthly. You can cancel at any time from the Stripe Customer Portal. Cancellation is effective at the end of the current billing period; we do not refund partial months. The setup fee is non-refundable except where required by law.

5. Payment failures & grace period

If a renewal payment fails, your workspace enters a 7-day grace period during which the service continues to operate. After that, the workspace becomes read-only until payment is restored. We will email you when payment fails and send reminders during the grace window.

6. Compliance: TCPA, CTIA, A2P 10DLC

You represent and warrant that every phone number to which you direct PropFox to send SMS has provided prior express written consent as required by TCPA and CTIA Messaging Principles & Best Practices. PropFox provides A2P 10DLC brand and campaign registration as part of the service, and automatic STOP keyword handling, but you remain the “sender” for compliance purposes.

You will not use PropFox to send unsolicited marketing messages, messages to consumers who have opted out, messages prohibited by the carriers' SHAFT-C policies (Sex, Hate, Alcohol-not-permitted-in-vertical, Firearms, Tobacco, Cannabis), or any other content prohibited by US carrier rules.

7. Call recording

US states vary between one-party and two-party recording consent. PropFox AI agents default to disclosing recording at the start of every call (“this call may be recorded for quality”). You may disable this only if you operate exclusively in one-party-consent states. You are solely responsible for compliance with the recording laws in every jurisdiction where you receive or place calls.

8. Acceptable use

You will not:

  • Use PropFox to impersonate licensed real-estate professionals you are not.
  • Misrepresent your AI agent as a human when a caller specifically asks (you must disclose when asked).
  • Reverse-engineer, copy, or rebuild PropFox.
  • Probe, scan, or attempt to breach security controls.
  • Use the service in connection with any illegal activity, including illegal telemarketing, fraud, or discriminatory housing practices prohibited by the Fair Housing Act.

9. Your data

You retain ownership of all data you upload or that the service captures on your behalf (call recordings, transcripts, listings, leads). We process it as described in our Privacy Policy.

10. Service availability

We aim to keep the service reliable but make no specific uptime guarantees in these general Terms. SLAs may be added for the Brokerage tier under a separate agreement. Telephony availability is subject to underlying carrier and VAPI / Telnyx availability, which we do not control.

11. Disclaimers & limitation of liability

To the maximum extent permitted by law, the service is provided “AS IS” without warranties of any kind, express or implied. PropFox is not liable for any indirect, incidental, special, consequential, or punitive damages. Our total liability in any 12-month period is capped at the amount you paid us for the service during that period.

The AI agent is a software product. It can make mistakes — misroute a lead, mishear an address, misquote a price. You should review call summaries before acting on them. You bear final responsibility for client relationships and the legal consequences of calls placed or received through your workspace.

12. Termination

You may cancel any time via the Stripe Customer Portal. We may suspend or terminate your access for material breach of these Terms (notably §§ 6, 8) or for non-payment after the grace period.

13. Changes to these Terms

We may update these Terms; material changes will be announced in-app at least 14 days before they take effect. Continued use after the effective date constitutes acceptance.

14. Governing law

These Terms are governed by the laws of the State of California, USA, without regard to its conflict-of-laws principles. Disputes will be heard in the state or federal courts located in Los Angeles County, California.
